LINK Mobility - Issuance of LTI share options to management

Oslo, 15 December 2021: Reference is made to the announcements by LINK Mobility Group Holding ASA ("LINK Mobility" or the "Company") on 21 October 2020 regarding the Company's LTI program and on 7 December 2021 regarding an extraordinary general meeting held in the Company.

The board of the Company has with the approval of the general meeting, resolved to amend the Company's LTI program with the following main alterations:

  • The total number of shares under the LTI program is increased from 10,000,000 to 14,000,000 (resulting in there being a remaining of 12,000,000 shares to be issued under the New LTI Program and that can be granted by the board with 3,000,000 options annually during the remaining 4 year period of the program).

  • The vesting period is extended from 12 months to 24 months.

  • The strike price for the share options will be based on the market value of the Company's shares as of 7 December 2021 for any grants during the first 12 month after 7 December 2021, thereafter to be based on the market value as of 7 December the preceding year with an increase of 12%.

  • Ordinary exercise of share options can only take place during the Company's exercise windows in the 14-day calendar period following the release of the Company's quarterly financial reports.

The board has also resolved to grant a total of 3,000,000 share options in the Company under the LTI program with a strike price of NOK 20.89, representing the market value of the Company's shares as of 7 December 2021.

The following primary insiders were granted LTI share options:

Guillaume Van Gaver, CEO of the Company, has been granted 250,000 LTI share options. Following the grant, Guillaume Van Gaver holds in total 470,000 LTI share options. In addition, Guillaume Van Gaver holds 698,893 shares in the Company and 742,324 RSUs.

Thomas Berge, CFO of the Company, has been granted 135,000 LTI share options. Following the grant, Thomas Berge holds in total 253,000 LTI share options. In addition, Thomas Berge holds 182,786 shares in the Company and 527,264 RSUs.
