LINK Mobility Group Holding ASA acquires Altiria in Spain

Oslo, 14 December 2021. LINK Mobility Group Holding ASA (LINK) has today acquired the Spanish self-sign up (SSU) company Altiria TIC, S.L. (Altiria).

Altiria was founded in 2002 and is headquartered in Madrid. The company is active in the A2P market in Spain and also has some activity in other Spanish speaking countries through its web-based go to market business model. Altiria is the market leader within NGOs in Spain.

The acquisition will be complementary to LINK's current business in Spain and provide multiple upsell opportunities to Altiria customers. Key personnel will join LINK and are motivated to further advance the strong Altiria brand in the Spanish market.

The transaction values Altiria at an enterprise value of EUR 2.5 million, implying a forecasted 2021 EV/EBITDA multiple of 5.8x including already implemented synergies. The purchase price was settled with 50% in cash and by 50% in shares in LINK. LINK has today resolved to issue 713,186 new shares at NOK 20.36766 per share, representing the volume weighted average share price during the last 10 trading days. The new shares are subject to a customary lock-up period for 3-months, however, each of the sellers are entitled to sell up to 50% of their portion of the new shares subject to customary restrictions. The transaction is deleveraging for LINK.

LINK will register the new share capital increase with the Norwegian Register of Business Enterprises and issue a separate announcement when the registration of the share capital increase has been completed.

Following registration of the share capital increase with the Norwegian Register of Business Enterprises, LINK will have a share capital of NOK 1,471,261.270 divided into 294,252,254 shares, each with a nominal value of NOK 0.005.
