LINK Mobility: Closing of Message Broadcast acquisition

LINK Mobility Group Holding ASA (LINK) today announces the closing of the acquisition of Message Broadcast, LLC, a leading provider of mission critical customer engagement solutions to blue chip enterprise customers in the U.S.

Reference is made to stock exchange release on 16 June 2021 regarding the agreement to acquire 100% of the shares in the privately owned Message Broadcast. LINK has today completed the acquisition of Message Broadcast.

The transaction values Message Broadcast at an enterprise value of USD 260 million. The purchase price has been settled 74% in cash funded by the EUR 170 million tap issue completed on 16 June 2021 and by LINK today having issued 16,755,069 new shares to the sellers. The new shares are subject to customary lock-up for a 6-month period from closing, however, 34% of the shares will be released from the lock-up on 1 November 2021 to satisfy tax obligations of the sellers.

LINK will register the new share capital increase with the Norwegian Register of Business Enterprises and issue a separate announcement when the registration of the share capital increase has been completed.

Following registration of the share capital increase with the Norwegian Register of Business Enterprises, the Company will have a share capital of NOK 1,461,518.22 divided into 292,303,644 shares, each with a nominal value of NOK 0.005.
