LINK Mobility Group Holding ASA: New share capital resolved

Reference is made to the announcement by LINK Mobility Group Holding ASA (LINK) on 12 February 2021 and today 10 March 2021 regarding the acquisition of the Dutch CPaaS enabler Tismi B.V (Tismi).

The board of directors of LINK has resolved to increase the Company's share capital with NOK 6,133.185 through the issuance of 1,226,637 new shares (the Consideration Shares), each with a nominal value of NOK 0.005. The resolution is based on an authorization to increase the share capital granted by the Company's general meeting on 2 October 2020. The Consideration Shares are issued to the seller as partial settlement for the acquisition of Tismi. The new shares are issued at a subscription price of NOK 54.76, equal to the average volume weighted price per share during the last 10 trading days up to and including the last trading day immediately preceding 12 February 2021. The Consideration Shares are subject to lock-up until 10 September 2021. Following registration of the share capital increase with the Norwegian Register of Business Enterprises, the Company will have a share capital of NOK 1,360,688.38 divided into 272,137,676 shares, each with a nominal value of NOK 0.005.
