LINK Mobility - Issuance of RSUs and LTI share options to management

Oslo, 20 October 2020: Reference is made to the announcements by LINK Mobility Group Holding ASA ("LINK Mobility" or the "Company", OSE ticker code "LINK") on 13 October 2020 regarding the terms of the initial public offering of the Company's shares (the "Offering") and the approval and publication of the prospectus for the Offering (the "Prospectus") and the announcement today, 20 October 2020, regarding completion of the Offering.

As described in the Prospectus, the board of directors of the Company has previously resolved to cancel the Company's cash based management incentive program and replace such program in connection with the listing by the RSUs and the LTI program as described below.

THE RSU PROGRAM

Under the RSU program, the board will grant RSUs in the form of share options to member of management as replacement for the accrued value under the cancelled management incentive program. The RSUs will be exercisable into shares as follows ; (i) 40% upon the first anniversary of the listing, (ii) 30% upon the second anniversary of the listing, and (iii) 30% upon the third anniversary of the listing. Exercise of the RSUs are subject to the RSU holder being employed with the Group at the time of exercise. Other than the nominal value of the shares, no payment is required by the RSU holder upon exercise.

The Board has today resolved to grant a total of 3,769,092 RSUs under the RSU program, of which members of the Company's management have been granted the following RSUs:

  • Thomas Berge, Group CFO: 878,775

  • Torbjørn Krøvel, CTO: 340,847

  • Fredrik Nymann, CCO: 340,847

  • Benoit Bole, COO Western Europe: 340,847

  • Hendrick Faash, COO Central Europe: 68,169

  • Ina Rasmussen, COO Northern Europe: 102,256

  • Lin Ackema, Chief People & Strategy: 68,169

THE LTI PROGRAM

The Company has implemented a long-term incentive program (LTI) for its management and key employees. The LTI program is capped at 10,000,000 share options that can be granted by the Board with 20% of the program annually over a five year period, the first possible grant to take place in connection with the listing. Each share option will give the option holder the right to subscribe and be allocated one share in the Company at the strike price. Grant and allocation of share options are at the discretion of the Board, taking into consideration achievement of budget as approved by the Board or certain performance based indicators based on the budget. The strike price for the share options will be based on the market value of the Shares on the date of the grant. The share options has a one-year vesting period from the grant date and can thereafter be exercise during a seven year period. Exercise of vested share options are subject to the option holder being employed with the Group at the time of exercise. Share options that are not exercised within the exercise period will laps and be of no value to the option holder. The Company has the right, in its sole discretion, to settle any share options by transfer of existing shares, new shares or a mix of the two. Further, the Company has the right to settle any vested share option in cash in the event of certain circumstances, such as in the event of a public take-over.

The Board has today resolved to grant a total of 2,000,000 share options under the LTI program, subject to the listing taking place. The strike price for this grant is set at NOK 47.00, being equal to the offer price in the Offering. The following members of the Company's management have been granted the following LTI share options:

  • Ina Rasmussen, COO Northern Europe: 88,000
  • Lin Ackema, Chief People & Strategy: 88,000
